Lumina Datamatics Ltd., a wholly owned subsidiary of Datamatics Global Services Ltd., will acquire 100% stake in TNQ Tech Pvt. Ltd., for cash consideration in two tranches.
Lumina Datamatics will be signing the share purchase agreement, shareholders’ and other agreements to acquire the shares from existing shareholders. The transaction is expected to be completed by July 2026.
Post acquisition, TNQ will become a step-down subsidiary of Datamatics Global Services, the latter said in a regulatory filing.
In the first tranche, the company will acquire 80% stake for ₹336 crore and the remaining shares over a period of 19 months based on EBITDA multiple applied to the audited financials of FY26 and other parameters, it said.
TNQTech, a Chennai-based digital publishing technology and services company, has presence in India, Europe and North America. The firm posted a turnover of ₹289 crore for the October 2023-September 2024 period.
“This acquisition will collectively strengthen us to more than 6,500 employees globally and establish us among dominant service providers in the world of digital content. This acquisition will enable us to strengthen our suite of AI- enabled technology and products,” Datamatics Global Services said.
